Who is the real difference between the M3 E36 USA and EURO?

I´m from Brazil, and here we have the Bmw M3 E36 USA and EURO, about the engines i know : USA 92 - 99 240HP

EURO 92 - 95 286 HP, 95 - 99 321 HP

But, the other things, example: suspension, the desing from the car, the interior, brakes, ...?

In Brazil, it´s very difficult to find the M3 EURO, and very expensive. If i chip, put the sporting filter, and substitute the exhaust in BMW M3 USA, what HP i Obtain?
